Peirce’s core argument is that most yield vaults fail on that fourth element: the profits depend on the protocol team's active management, strategy adjustments, and parameter changes, not purely on algorithmic automation.

To understand why this matters, I first need to dissect what a modern crypto vault actually does. A vault is a smart contract that accepts user deposits and deploys them into a set of pre-defined DeFi strategies—typically lending markets, automated market makers, or yield aggregators. The vault manager—a multisig or a DAO—can swap strategies, rebalance positions, and tweak parameters (like slippage tolerance or leverage ratio) without asking each depositor. That warm fuzzy feeling users get when they see a high APY? That's someone else's effort generating it. The algorithm executes, but the strategy is designed and maintained by a human team.

Peirce's warning is not about killing vaults; it is about forcing them to prove they are not securities. The real risk is not in the code—it is in the governance. A vault that is fully autonomous—no strategy changes, no multisig override, no fee extraction to a team wallet—does not pass the Howey Test because there is no "effort of others" generating profits. The algorithm does the work. The depositor is simply buying a mathematical function.
