The Cypherpunk Gambit: When Capital Buys Hashrate, Who Owns the Chain?

Editorial | Neotoshi |
The dance between capital and code has a new partner. On August 18, 2025, a publicly traded shell of a company named Cypherpunk Technologies announced it had acquired roughly 18% of Zcash’s global mining hashrate. Not with cash. Not with debt. But with equity—a 28.7% dilution of its own stock, handed to an entity tied to the Winklevoss twins. The deal was approved by a governance committee as a related-party transaction. The board now includes two Winklevoss appointees. The miner they bought from? Moria Mining, a Winklevoss Treasury Investments affiliate. The message is clear: the privacy chain is being bought, piece by piece, by insiders. And the community is watching. To understand what this means, we need to step back. Zcash has always been the philosopher’s coin—the one that dared to shield transactions while still using a public blockchain. Its privacy features are cryptographic poetry, but its user base has been shrinking. Monero eats its lunch in adoption. The regulatory shadow looms large. Yet here comes a listed company, offering its own shares to buy the machines that print ZEC. The deal is structured as a purchase of 4,902 ASIC miners located in three US sites, delivering 4.2 GSol/s of Equihash hashrate. That makes Cypherpunk the largest active Zcash miner by a wide margin. They also hold 323,394 ZEC, about 2% of the circulating supply, and aim to reach 5%. On the surface, this is a vote of confidence. A publicly traded entity, backed by the Winklevoss brand, is betting on Zcash’s future. They hired Kevin Zhang, a veteran from Foundry, to run mining operations. Zhang claims the mining economics for Zcash are superior to Bitcoin and AI hosting. The company says its production cost is below the spot price. But dig deeper, and the cracks appear. The acquisition was not paid in cash but in pre-funded warrants covering 43.29 million shares at a strike price of $0.001. Essentially, the Winklevoss vehicle got the miners for almost free—in exchange for the ability to convert a massive chunk of Cypherpunk’s equity. The company valued its own shares at $0.77 for the deal, implying a $33.3 million price tag. But the warrants alone represent 28.7% of the fully diluted equity. The initial issuance is capped at 5.37 million shares; the rest requires shareholder approval at the next annual meeting. This is not a done deal. It is a governance hostage situation. From the ashes of 2022, we planted seeds for 2030. But this seed is planted in soil that is far from neutral. The hashrate concentration is a red flag. 18% of a Proof-of-Work network’s mining power sitting under one corporate roof—especially one that is also a large holder—creates a dangerous power dynamic. The 51% threshold is theoretical, but the soft power of being the largest miner is real. They can influence transaction ordering, potentially prioritize certain transactions, or even collude with other pools. And with Kevin Zhang’s Foundry background, the network effect of North American mining pools could create an informal alliance that further concentrates power. The geographic centralization is also worrying: all three sites are in the US, making the network vulnerable to jurisdiction-specific attacks or regulatory pressure. But let me offer a contrarian lens. Perhaps this is exactly what Zcash needs to survive. The privacy coin space has been bleeding talent and capital. Monero’s community is stronger, but its governance is messy. Zcash has a foundation that allocates funding, but its development has been slow. An institutional player with deep pockets and a clear profit motive could accelerate upgrades, improve mining efficiency, and bring liquidity to the ZEC market. The Winklevoss brand also adds a layer of legitimacy that could help with regulatory discussions. If the SEC ever cracks down on privacy coins, having a publicly traded company with a legal team might be a shield rather than a target. The warrants are dilutive, but they also align the interests of the company and the Winklevoss family. Both parties want the price of ZEC to go up. That is a strong incentive to build. Yet trust is built in the bear, sold in the bull. The current market is still recovering from the 2022-2024 winter. Investors are skeptical of dilution. The structure of this deal—using stock to buy miners—smells of desperation. Why not raise cash? Because the company likely cannot. The equity issuance is a way to fund operations without a bank loan. But it comes at a cost: the existing shareholders are being diluted by nearly 30% for the privilege of owning a mining operation that depends on a volatile token price. If ZEC drops, the mining revenue vanishes, and the warrants become worthless. The company then has a bloated equity base and no cash flow. This is a classic risk-reward asymmetry. My own experience tells me that such deals rarely end well for retail holders. Back in the 2020 DeFi summer, I saw similar structures—shares for tokens, tokens for shares—and they often preceded crashes. The alignment of incentives is fragile. The Winklevoss twins are not in this to save Zcash; they are in it to make a return. They will push for decisions that maximize their equity value, not necessarily the health of the network. The board seats give them direct influence. Imagine a future where the company proposes a hard fork that benefits large miners, or pushes for a change in the block reward schedule. The community would have little power to resist. Risk is the new utility. We need to assess the probability of each scenario. The most likely outcome is that the shareholder vote approves the remaining warrants, the dilution goes through, and Cypherpunk becomes a 5% ZEC holder by year-end. The hashrate concentration will remain, but the network will continue to function. The more dangerous scenario is a regulatory crackdown on privacy coins, which would tank ZEC and make the mining operation unprofitable. The company would then be forced to sell its ZEC, putting downward pressure on the price. The third scenario is a governance fight: the shareholder vote fails, the warrants are limited, and the company scrambles to find a different funding source. Any of these could happen, but the first is the most probable given the current market optimism. Visionaries plant trees they never sit under. But the Winklevoss twins are not visionaries; they are investors. They are sitting under the tree they planted, collecting the fruit. The question for the Zcash community is whether they want that tree to be an oak that shelters the entire ecosystem, or a monoculture that sucks up all the nutrients. The answer lies in the hands of Cypherpunk’s shareholders—and the regulators who watch privacy coins. For now, the hashrate is bought, the warrants are issued, and the future is uncertain. The seeds of 2025 may grow into a forest or a desert. The choice is not ours alone.
